The ground rules for using our services.

1Acceptance of terms

These Terms & Conditions (the Terms) form a legally binding agreement between you and ThinkerSteps Technologies Pvt. Ltd. (ThinkerSteps, we, our, or us). By accessing our website, signing up for an account, requesting a quote, or engaging us for any service, you confirm that you have read, understood, and agreed to these Terms.

If you are using the services on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

2Our services

ThinkerSteps offers custom software development, design, and related professional services. This includes web applications, mobile applications, desktop applications, e commerce platforms, IoT solutions, and SaaS products such as SwarnApp and Jewelsteps. The specific scope, deliverables, and timelines for each engagement are defined in a separate Statement of Work (SOW) or service order.

3Accounts & eligibility

To use certain features you may need to create an account. You agree to:

• Provide accurate, current, and complete information when registering.
• Keep your login credentials secure and confidential.
• Be responsible for all activities that occur under your account.
• Notify us immediately of any unauthorised use of your account.

You must be at least eighteen years old, or the age of majority in your jurisdiction, to use the services.

4Intellectual property

Unless an SOW says otherwise, the ownership of work product is governed by the following:

• Pre existing IP: any tools, libraries, code, frameworks, designs, or know how that we developed before or outside the engagement remain our property.
• Custom work product: the bespoke source code, designs, and documentation we create specifically for you under the SOW are transferred to you on full payment of the agreed fees.
• Our products: our SaaS products, including SwarnApp, Jewelsteps, Miniz, SalonSteps, and Shopify apps, remain our property and are licensed to subscribers under separate product terms.
• Third party components: open source libraries and third party services included in any deliverable remain subject to their own licences.

The ThinkerSteps name, logo, and brand assets are our property and may not be used without our written permission.

5Project engagement

Each project begins with a written SOW that sets out the scope, deliverables, timeline, acceptance criteria, and fees. You agree to:

• Provide timely access to information, accounts, and stakeholders we need to deliver the work.
• Review and respond to demos, designs, and decisions within the timelines set in the SOW.
• Inform us of changes in scope so we can document them in a written change order before they are implemented.

Delays caused by client side dependencies may shift the agreed timeline and may attract additional fees, as outlined in the SOW.

6Fees & payment

Fees, currency, taxes, and payment milestones are set in the SOW or product order. Unless agreed otherwise:

• Invoices are payable within seven days of receipt.
• All fees are exclusive of GST, VAT, or other applicable taxes, which you are responsible for paying.
• Payment milestones must be cleared before the next milestone begins.
• Late payments may attract a service hold and interest charges as permitted by applicable law.

Subscription based products renew automatically unless cancelled before the renewal date.

7Confidentiality

Each party agrees to keep the other party's confidential information secret, use it only to perform under the engagement, and protect it with at least the same care it uses for its own confidential information. Confidential information does not include information that is or becomes publicly available without breach of these Terms, or that the receiving party already knew before disclosure.

We are happy to sign a separate Non Disclosure Agreement (NDA) before any sensitive details are shared. Just ask.

8Warranties & disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. For custom development, we offer a thirty day post launch warranty for bug fixes related to our delivered work, as defined in the SOW.

Except as expressly stated, the services and website are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non infringement.

9Limitation of liability

To the maximum extent permitted by applicable law, in no event will either party be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim arising out of or related to these Terms or the services will not exceed the fees you actually paid to us in the twelve months preceding the event giving rise to the claim.

10Indemnification

You agree to indemnify and hold harmless ThinkerSteps, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising out of your breach of these Terms, your use of the services, or your content or materials provided to us.

11Term & termination

These Terms apply for as long as you use our services. Either party may terminate an engagement by providing written notice if the other party materially breaches the agreement and fails to cure the breach within thirty days of receiving notice.

On termination, you will pay for all work performed and expenses incurred up to the effective termination date. Sections of the Terms that by their nature should survive termination, including confidentiality, intellectual property, and limitation of liability, will continue to apply.

12Governing law

These Terms are governed by the laws of India. Any dispute arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts at Nagpur, Maharashtra. The parties will first attempt to resolve any dispute through good faith discussions before initiating legal proceedings.

13Changes to terms

We may update these Terms from time to time. When we do, we will update the date at the top of this page. Continued use of the services after changes are posted means you accept the updated Terms. For material changes, we will notify you by email or through a prominent notice on our website.
